1. Definitions
For purposes of these Terms and Conditions:
- "Service" refers to investment consulting services provided by Corinth Ventures
- "Client" or "You" refers to individuals or entities engaging our services
- "We," "Us," or "Our" refers to Corinth Ventures
- "Agreement" refers to these Terms and Conditions and any service engagement documents
- "Website" refers to our online presence at corintices.info
2. Acceptance of Terms
By engaging our services, visiting our website, or communicating with our team, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements in Taiwan to engage our services.
3. Service Description
Corinth Ventures provides professional investment consulting services in Taiwan, including:
- Council Consultation for initial investment evaluation
- Chamber Advisory Service for multi-phase guidance
- Senate Program for comprehensive oversight
Services are provided on an engagement basis with scope defined in separate service agreements. We reserve the right to modify service offerings, though existing engagements continue under agreed terms.
Our services constitute professional counsel and analysis, not investment management or direct financial transactions.
4. Client Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information relevant to the engagement
- Respond to information requests in a timely manner
- Maintain confidentiality of proprietary methodologies and materials
- Comply with all applicable laws and regulations
- Make final investment decisions independently based on your own judgment
- Notify us promptly of material changes affecting the engagement
- Review and verify all documentation and recommendations
You acknowledge that investment decisions carry inherent considerations and our role is to provide professional counsel, not to make decisions on your behalf.
5. Prohibited Activities
When using our website or services, you agree not to:
- Provide false or misleading information
- Use services for unlawful purposes or in violation of regulations
- Attempt to access unauthorized areas of our systems
- Interfere with the proper functioning of our website or services
- Copy, reproduce, or distribute our proprietary materials without authorization
- Misrepresent your relationship with Corinth Ventures
6. Intellectual Property
All content, methodologies, documentation, and materials provided by Corinth Ventures remain our intellectual property. This includes analysis frameworks, recommendation templates, and proprietary processes.
Clients receive a limited, non-exclusive license to use materials provided during their engagement for their own investment decision-making purposes only. Materials may not be reproduced, distributed, or used for commercial purposes without written permission.
Client information and data remain the property of the client. We claim no ownership of information you provide, though we retain the right to use anonymized data for internal analysis and service improvement.
7. Fees and Payment
Service fees are specified in individual engagement agreements:
- Council Consultation: NT$10,900
- Chamber Advisory Service: NT$39,500
- Senate Program: NT$63,200
Payment terms are specified in engagement documentation. Fees are due as outlined in service agreements. We accept wire transfer, check, or other payment methods as agreed.
All fees are quoted in New Taiwan Dollars (NT$) and exclude any applicable taxes, which are the client's responsibility.
Fees for initiated engagements are non-refundable once services have commenced, though specific refund provisions may be outlined in individual engagement agreements.
8. Disclaimers
Our services are provided on an "as is" basis. While we maintain professional standards and exercise due care, we make no guarantees regarding specific outcomes or results.
Investment decisions involve inherent considerations that cannot be eliminated through professional counsel. Past performance of investments or advisory engagements does not indicate future results.
We are not responsible for decisions made by clients based on our recommendations, nor for changes in market conditions, regulations, or other factors beyond our control that may affect investment outcomes.
Our counsel does not constitute legal, accounting, or tax advice. Clients should consult appropriate professionals for matters outside the scope of investment consulting.
9. Limitation of Liability
To the maximum extent permitted by Taiwan law, our liability for any claims arising from our services is limited to the fees paid for the specific engagement giving rise to the claim.
We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, lost opportunities, or investment losses.
This limitation applies regardless of the legal theory under which liability is asserted, whether contract, negligence, or otherwise.
10. Indemnification
You agree to indemnify and hold harmless Corinth Ventures, its partners, and employees from claims, damages, or expenses arising from your use of our services in violation of these terms, provision of false information, or unlawful conduct.
11. Confidentiality
We maintain strict confidentiality regarding client information in accordance with professional standards and legal requirements. Details of our confidentiality obligations are outlined in our Privacy Policy and individual engagement agreements.
Clients agree to maintain confidentiality regarding our proprietary methodologies, processes, and any confidential information shared during engagements.
12. Termination
Either party may terminate an engagement under the following conditions:
- By mutual written agreement
- By either party with written notice if the other party materially breaches these terms
- By us if continuation would violate professional standards or regulations
Upon termination, fees for services rendered remain due. We will provide existing work product and documentation as appropriate.
Provisions regarding confidentiality, intellectual property, and liability survive termination of the engagement.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Taiwan, Republic of China. Any disputes arising from our services or these terms shall be subject to the jurisdiction of the courts of Taipei, Taiwan.
Before pursuing formal legal proceedings, parties agree to attempt resolution through:
- Direct negotiation between the parties
- Mediation through a mutually agreed mediator
If informal resolution fails, disputes may be submitted to arbitration or court proceedings as appropriate under Taiwan law.
14. General Provisions
Entire Agreement
These Terms and Conditions, together with any engagement agreements and our Privacy Policy, constitute the entire agreement between parties regarding our services.
Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full effect.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations with notice to you.
Notice
Official notices should be sent to [email protected] or to our physical address in Taipei. Notices are deemed received when sent via email or three business days after mailing.
15. Changes to Terms
We may update these Terms and Conditions periodically. Changes become effective upon posting to our website with an updated effective date.
Existing engagements continue under the terms agreed at engagement commencement unless both parties agree to updated terms.
